1. Introduction
Thank you for choosing Subscord. Before using our service, please carefully read, understand, and accept these Terms of Service ("Terms") and our Privacy Policy. By accessing or using Subscord ("the Service"), you agree to be bound by these Terms. These Terms constitute a legal agreement between Subscord ("us", "we", "our", "Subscord") and you ("you", "your").
2. Description of Service
Subscord is a web application and Discord bot designed to enable server owners ("Sellers") to sell roles within their Discord servers on a subscription basis. The Service facilitates payment transactions using both cryptocurrencies and Stripe. When a Seller chooses to accept payments via Stripe, the Seller connects their own Stripe account to Subscord by providing API credentials, and Subscord operates that connected Stripe account on the Seller's behalf for the purpose of managing subscriptions, products, prices, customers, invoices, and webhooks. Subscord also accepts payments from Sellers for its own service tiers through Stripe and supported cryptocurrencies.
3. User Conduct
By using the Service, you agree not to:
- Violate any laws or regulations.
- Infringe upon the rights of others.
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to any portion of the Service.
- Engage in any activity that could harm or negatively affect the Service, its users, or its operators.
4. Updates to Terms
Subscord reserves the right to update these Terms for reasons including but not limited to legal compliance or service enhancements. Changes will be communicated via the Subscord Discord Support Server or other appropriate channels. Your continued use of the Service after any changes constitute your acceptance of the updated Terms.
5. About the Service
Subscord is a bot for the chat and social platform "Discord," provided by Discord Inc. You are responsible for complying with Discord's Terms of Service. Subscord strictly adheres to Discord's guidelines and does not knowingly abuse its services.
6. License
You may use Subscord and its services for any purpose, including commercial use, unless otherwise specified. Reverse-engineering or deriving source code from Subscord is prohibited.
7. Restrictions on Use
You may not:
- Use Subscord to send advertisements or spam messages.
- Modify Subscord's functionality or attempt to reverse-engineer its source code.
- Use Subscord in a manner that violates Discord's Community Guidelines.
- Access Subscord's backend or make unauthorized API calls.
8. Pricing and Subscription Limits
Subscord offers the following subscription tiers:
- Free Tier: Up to 10 concurrent subscriptions.
- Pro Tier: Up to 50 subscriptions, priced at $39/month.
- Max Tier: Up to 500 subscriptions, priced at $65/month.
Additionally, custom plans are available for users requiring higher limits. Prices and subscription limits are subject to change at any time.
9. Cryptocurrency Payments
Subscord offers the option for customers to make payments using cryptocurrencies. While we strive to provide accurate payment instructions, we cannot guarantee the payments are sent to the correct wallet addresses provided.
- Customer Responsibility: It is the responsibility of customers to ensure the accuracy of the wallet address provided for cryptocurrency payments. Subscord shall not be held liable for payments sent to incorrect wallet addresses.
- Verification: Customers are advised to double-check the provided wallet address before making any cryptocurrency payments to ensure accuracy.
- No Refunds: Payments sent to incorrect wallet addresses are non-refundable. Subscord shall not be responsible for facilitating refunds for payments made in error.
10. Compliance with Laws and Prohibited Use
By using Subscord, you agree that you are solely responsible for ensuring your use of the platform complies with all applicable local, national, and international laws and regulations, including but not limited to cryptocurrency, tax, data privacy, and anti-money laundering laws.
- Prohibited Activities: Subscord may not be used for any unlawful purposes, including but not limited to the sale or distribution of illegal goods, services, or content. You are prohibited from using Subscord for any activity that violates laws, including activities related to fraud, money laundering, or the sale of illegal substances, materials, or services.
- Prohibited Content: Without limiting the foregoing, you may not use Subscord to sell, distribute, or provide access to: (a) content that you do not own or for which you do not hold all rights, licenses, and permissions necessary to commercially distribute it, including content originally created or published by another party without that party's express written authorization; (b) content that infringes any third party's intellectual property or proprietary rights, including copyrights, trademarks, and rights of publicity; (c) content depicting any individual without their informed consent, or any content depicting or involving minors; (d) content or businesses prohibited by the policies of any payment provider you have connected to Subscord, including Stripe's Restricted Businesses policy; (e) content that violates Discord's Terms of Service or Community Guidelines; or (f) any content that is harassing, threatening, defamatory, or that promotes violence or self-harm.
- Right to Investigate: Subscord does not proactively monitor Seller content but reserves the right, at its sole discretion, to investigate any report or indication of a suspected violation, including by reviewing Seller dashboards, transaction histories, customer reports, and connected payment provider data, and to take any of the enforcement actions described in these Terms.
- User Responsibility: Subscord does not conduct KYC (Know Your Customer) verification or monitor the nature of goods or services being sold. It is your responsibility to ensure that your use of Subscord, including receiving payments and managing subscriptions, complies with all legal requirements.
- No Liability: Subscord shall not be held liable for any illegal activity conducted by users of the platform. Any user found to be engaging in illegal activities may have their access to the platform suspended or terminated without notice.
11. Affiliate Program
Subscord provides an affiliate tracking feature that allows users ("Affiliates") to generate referral links. When these links are accessed, a cookie is set on the visitor's browser to track referrals for 30 days. By using this feature, you agree to the following:
- Commission Payments: Subscord does not hold or manage funds for affiliate commissions. Crypto transactions occur directly on-chain, and Stripe transactions are processed through the Seller's account. Subscord is not involved in the flow of funds for commissions.
- Sole Responsibility of Seller: The Seller is solely responsible for approving, and paying any commissions owed to Affiliates in a timely manner. Subscord assumes no responsibility or liability for Sellers who fail to pay, pay late, or pay incorrectly.
- No Liability: Affiliates acknowledge that any obligation to pay commissions is solely that of the Seller. Subscord does not owe any money to Affiliates and shall not be liable for any loss of income or unpaid commissions.
- Reversals: Sellers retain the full right to revert, cancel, or adjust commissions, including in cases where the underlying transaction is refunded or disputed.
12. Customer Data and Seller Obligations
When you operate as a Seller on Subscord (including selling subscriptions, products, services, or receiving affiliate payouts), Subscord makes certain customer information available to you through the dashboard, CSV exports, and our public API. This may include the customer's Discord account ID, username, email address, purchase history, and other transaction-related data ("Customer Data").
By accessing Customer Data, you acknowledge and agree that you act as an independent data controller with respect to that data, and you accept the following obligations:
- Lawful Use Only: You will only use Customer Data for legitimate business purposes directly related to the transaction, such as order fulfillment, customer support, refunds, dispute resolution, and complying with tax and accounting obligations.
- No Unsolicited Marketing: You will not use customer email addresses or other personal information to send unsolicited marketing, spam, or promotional communications without first obtaining the customer's separate, informed consent in compliance with applicable laws (including GDPR, CAN-SPAM, CASL, and similar regulations).
- No Resale or Disclosure: You will not sell, rent, license, or otherwise disclose Customer Data to any third party, except to your own service providers acting on your behalf under appropriate confidentiality obligations.
- Security: You will implement reasonable technical and organizational measures to protect Customer Data from unauthorized access, loss, or disclosure.
- Compliance with Privacy Laws: You are solely responsible for complying with all applicable data protection and privacy laws in your jurisdiction and the jurisdictions of your customers, including but not limited to GDPR, CCPA, and similar regulations. This includes maintaining your own privacy policy, providing required disclosures to customers, honoring data subject rights (such as access and deletion requests), and reporting any data breaches as required by law.
- Data Retention: You will retain Customer Data only for as long as necessary for the purposes for which it was obtained, or as required by applicable law.
- Indemnification: You agree to indemnify and hold Subscord harmless from any claims, damages, fines, or liabilities arising from your handling of Customer Data, including any failure to comply with applicable privacy laws or these Terms.
Subscord reserves the right to suspend or terminate your access to Customer Data, the API, or the Service if we have reason to believe you have violated this section.
13. Payment Provider Integrations and Connected Accounts
Sellers using Subscord may connect third-party payment providers, including Stripe, by providing API credentials or completing a connection flow ("Connected Account"). This section governs Subscord's authority over your Connected Account.
- Grant of Authority: By connecting a Connected Account to Subscord, you authorize Subscord to act as your agent and to use the credentials you provide to perform any operations available through the payment provider's API on your behalf, including but not limited to creating, modifying, pausing, resuming, and canceling customers, subscriptions, products, prices, payment methods, invoices, and webhook endpoints. This authority is the technical foundation of the Service and is necessary for Subscord to operate the features you have configured.
- Operational Use: In normal operation, Subscord will only use this authority to carry out the actions you have configured through the dashboard or API, actions taken by your customers (such as subscribing or canceling), or actions required for the Service to function (such as syncing webhook endpoints).
- Enforcement Use: You expressly authorize Subscord to use Connected Account credentials, without prior notice, to take enforcement actions when Subscord determines in its sole discretion that you have violated these Terms, that continued operation of subscriptions or other resources in your Connected Account would be unlawful or harmful to your customers, or that your activity violates the policies of the payment provider. Enforcement actions may include, without limitation, canceling pending and active subscriptions, deactivating products and prices, marking invoices as uncollectible, disabling webhook endpoints, and terminating the API session.
- No Refund Obligation: Subscord has no obligation to issue refunds, payouts, or transfers from your Connected Account on your behalf, even where enforcement actions result in customers losing access to a service for which they have paid. Any refund obligations to your customers remain solely yours, including any refunds that arise as a consequence of your account being suspended or terminated.
- Disconnection: You may disconnect your Connected Account at any time through the dashboard. Disconnection will stop new operations initiated by Subscord going forward, but it does not retroactively reverse operations already performed and does not relieve you of obligations to your customers, to the payment provider, or under these Terms.
- Reporting and Cooperation: You acknowledge and agree that Subscord may share information about your Connected Account, including transaction details, customer identifiers, and content listings, with the relevant payment provider (e.g., Stripe), affected rights holders, Discord, and law enforcement, for the purposes of investigating violations of these Terms, the payment provider's policies, or applicable law.
- Indemnification: You agree to indemnify and hold Subscord harmless from any claims, damages, fines, or liabilities arising from Subscord's lawful and good-faith exercise of the authority granted in this section, including claims by your customers, your affiliates, the payment provider, or any third party, where Subscord acted in response to a suspected violation of these Terms or applicable law.
14. Support and Outages
We strive to provide reliable service. In the event of outages or service disruptions, we will make reasonable efforts to resolve issues promptly.
15. Account Termination and Enforcement
Subscord reserves the right to suspend or terminate your account, in whole or in part, at any time, with or without notice, if we determine, in our sole discretion, that you have violated these Terms, engaged in suspicious or fraudulent activity, sold prohibited content, or that your actions may cause harm to Subscord, its users, your customers, payment providers, rights holders, or other third parties.
Upon suspension or termination, Subscord may, without further notice and without liability to you, take any one or more of the following actions:
- Disable your access to the dashboard, the public API, and any Discord bot integrations associated with your account.
- Remove or revoke Discord roles previously granted to your customers through the Service, with the effect of ending their access to the underlying offering.
- Use your Connected Account credentials, as authorized in Section 13, to cancel pending and active subscriptions, deactivate products and prices, mark invoices as uncollectible, and disable webhook endpoints in your connected payment provider accounts.
- Revoke API keys, disconnect payment provider integrations, and withhold any payouts, commissions, or other amounts held in balances under Subscord's control pending review.
- Report the violation, along with relevant account and transaction information, to the affected payment providers (including Stripe), affected rights holders, Discord, and law enforcement.
Any outstanding subscription fees, payouts, or commissions owed to you may be forfeited. You remain solely responsible for any refunds, chargebacks, customer support, tax obligations, or other liabilities to your customers or to third parties arising as a result of your account being suspended or terminated.
